Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Built Diff platform ("Service") provided by Built Diff ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must be at least 18 years old to use the Service.

2. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated means to access the Service without our written permission
  • Upload malicious code, viruses, or harmful content
  • Impersonate any person or entity
  • Share your account credentials with third parties

3. Financial Services & Bank Account Linking

The Service allows you to link bank accounts via Plaid Inc. for the purpose of viewing financial data within the context of construction project management.

  • We are not a bank, financial advisor, or licensed financial institution.
  • Bank account linking is provided through Plaid's API. Your use of Plaid is subject to the Plaid End User Privacy Policy.
  • We display financial data for informational and project management purposes only. This data does not constitute financial advice.
  • You may disconnect bank accounts at any time, which will revoke our access to your financial data.
  • Payment processing is handled by third-party processors (Modern Treasury). We do not store full bank account or routing numbers.

4. Your Data

You retain ownership of all data you upload to the Service, including project plans, photos, documents, invoices, and other materials ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely to provide and improve the Service.

We process your data in accordance with our Privacy Policy. You are responsible for ensuring that you have the necessary rights and permissions to upload and share any content through the Service.

5. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Built Diff and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our written consent.

6. Third-Party Services

The Service integrates with third-party services including Plaid, Supabase, Vercel, Modern Treasury, Telnyx, Resend, OpenAI, Google, and Mapbox. Your use of these integrations is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.

8. Limitation of Liability

To the maximum extent permitted by law, Built Diff shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.

10. Indemnification

You agree to indemnify and hold harmless Built Diff and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Knox County, Tennessee.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
